1. About TraceNet
TraceNet Systems Ltd. is a technology company that provides AI-driven financial analytics and compliance infrastructure.
The Platform enables users to analyze transaction data, identify irregularities, and generate reports through read-only integrations with banks, payment systems, and digital-asset exchanges.
TraceNet is not a financial institution, broker, or money-service business.
We do not store, transfer, or control user funds.
2. Eligibility
By using the Platform, you represent and warrant that:
- You are at least 18 years old or of legal age in your jurisdiction;
- You have the authority to enter into these Terms;
- Your use of the Platform complies with all applicable laws, including financial and data-protection regulations.
Access may be restricted or revoked if compliance obligations are not met or if false information is provided.
3. Description of Services
The Platform provides:
- AI-based transaction analysis and risk scoring;
- Integration with financial and crypto institutions via official APIs;
- Automated generation of compliance and audit reports;
- Optional automated initiation of chargeback, recall, or dispute requests when authorized by the user.
All actions are performed in read-only mode.
TraceNet does not execute or authorize financial transactions on behalf of users.
4. User Responsibilities
Users agree to:
- Provide accurate and complete information during onboarding;
- Maintain confidentiality of access credentials and API keys;
- Use the Platform only for lawful and authorized purposes;
- Not misuse, resell, or reverse-engineer any part of the Platform;
- Immediately notify TraceNet of any unauthorized access or security incident.
Users are solely responsible for actions performed under their credentials.
5. Compliance Onboarding
To access advanced features or API integrations, users must complete a short compliance onboarding process, as required by international financial regulators.
This process may include:
- Identity and institutional verification (KYC/KYB);
- Acceptance of TraceNet's compliance terms;
- Confirmation of lawful data usage and purpose.
Access tokens are issued only upon successful completion of this process.
6. Intellectual Property
All intellectual property rights in the Platform, including software, models, text, design, and documentation, are owned by TraceNet Systems Ltd. or its licensors.
Users may not:
- Copy, reproduce, or distribute any part of the Platform;
- Use TraceNet's trademarks or branding without written permission;
- Modify, decompile, or reverse-engineer the Platform or its AI models.
All rights not expressly granted under these Terms are reserved by TraceNet.
7. Data Usage and Privacy
All data processed through the Platform is handled in accordance with the Privacy Policy.
Users acknowledge and agree that:
- Data access is limited to read-only connections;
- Data may be analyzed for risk, compliance, and operational improvement;
- TraceNet may store metadata and anonymized insights for model optimization;
- All data handling complies with GDPR, AML, and other applicable laws.
Users retain ownership of their input data and analytical outputs.
8. Security
TraceNet implements industry-standard security protocols, including encryption, access control, and continuous monitoring.
However, no system is completely secure, and users acknowledge the inherent risks of data transmission over the internet.
TraceNet will not be liable for unauthorized access or incidents beyond its reasonable control.
9. Service Availability
The Platform is provided on an "as-is" and "as-available" basis.
TraceNet reserves the right to:
- Modify, suspend, or discontinue any feature or service;
- Perform scheduled or unscheduled maintenance;
- Restrict access when required by law or regulator.
TraceNet shall not be liable for downtime, delays, or data unavailability.
10. Prohibited Activities
Users may not:
- Attempt to gain unauthorized access to the Platform or its data;
- Upload or transmit malicious code or data;
- Use the Platform for unlawful, deceptive, or fraudulent activity;
- Interfere with network operations or system integrity;
- Circumvent security or authentication mechanisms.
Violation of these terms may result in immediate suspension or termination of access.
11. Limitation of Liability
To the maximum extent permitted by law:
TraceNet shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to the use of the Platform.
TraceNet's total liability shall not exceed the amount paid by the user (if any) in the preceding twelve months.
12. Indemnification
Users agree to indemnify and hold harmless TraceNet Systems Ltd., its affiliates, and employees from any claims, damages, or expenses arising out of:
- Violation of these Terms;
- Misuse of the Platform;
- Breach of applicable law or regulation.
13. Termination
TraceNet may suspend or terminate user access immediately if:
- The user violates these Terms or compliance obligations;
- The Platform is misused for illegal or non-compliant activity;
- Required by a financial regulator or court order.
Upon termination, all rights to use the Platform cease immediately.
14. Changes to These Terms
TraceNet may update these Terms periodically.
Revised Terms will be posted on this page with the updated "Last Modified" date.
Continued use of the Platform after updates constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed under the laws of Israel, without regard to conflict-of-law principles.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv District, Israel.
